The availability or functionality of such Third-Party Services may affect the Platform, and the Company shall not be responsible for any failure, delay or limitation attributable to a Third-Party Service, except to the extent required by Applicable Law.
12.5. The Company does not guarantee that the Platform will be free from bugs, vulnerabilities, viruses or other technical defects, but may take reasonable measures to identify, address and mitigate such issues.
12.6. The User acknowledges that access to and use of the Platform requires compatible devices, software, internet connectivity and telecommunications services, which are the User’s responsibility and may be subject to separate charges imposed by third-party providers.
12.7. The Company shall not be responsible for any delay, loss or damage resulting from circumstances outside its reasonable control, including any Force Majeure Event or failure of third-party infrastructure, subject to the Company’s obligations under Applicable Law.

14.1. The Company may, at its discretion, suspend, restrict or terminate a User’s Account or access to any part of the Platform or Platform Services, or remove or suspend any Requirement, Bid or User Content, where (a) the User breaches these Terms, the applicable User Terms; (b) any information or document provided by the User is false, inaccurate, misleading or incomplete; (c) the Company reasonably suspects fraud, misuse, unauthorised access, unlawful activity or conduct that may adversely affect the Platform or any User; (d) the User fails to pay any amount due to the Company; (e) the User fails to provide information or documents reasonably requested by the Company for verification, compliance or security purposes; or (f) such action is required or reasonably necessary under Applicable Law or a direction of a competent authority.
14.2. The Company may also suspend or restrict access to the Platform or any functionality where reasonably necessary to address a security incident, technical issue, suspected compromise or other risk to the Platform or its Users.
14.3. Where reasonably practicable, the Company may notify the User of a suspension or restriction and, where the circumstances permit, provide the User an opportunity to remedy the relevant breach. The Company may, however, take immediate action without prior notice where it reasonably considers that immediate action is necessary to protect the Platform, its Users, the Company or to comply with Applicable Law.
14.4. A User may discontinue its use of the Platform at any time by requesting closure of its Account in accordance with the procedure specified by the Company. Termination of an Account shall not affect any rights, obligations, fees or liabilities accrued before termination.
14.5. Termination or suspension of an Account shall not affect any Transaction or obligation that has already arisen between the User and another User, or any obligation owed by the User to the Company, including payment obligations and obligations that are intended to survive termination.
14.6. The provisions of these Terms which by their nature are intended to survive termination, including provisions relating to intellectual property, confidentiality, fees, anti-circumvention, limitation of liability, indemnity, dispute resolution and accrued rights and obligations, shall survive termination or expiry of these Terms.
14.7. Following the withdrawal or cancellation of a registration, or the termination or closure of an Account, the Company shall retain the information relating to such registration for such period as may be required or for the maximum prescribed under Applicable Law, and shall thereafter deal with such information in accordance with the Privacy Policy and Applicable Law.
14.8. Where the Company removes or disables access to any information, data or communication link, whether on its own accord, pursuant to a grievance or pursuant to an order or direction of a court or a competent authority, the Company shall preserve such information, data or communication link together with the associated records for the period prescribed under Applicable Law, for the purposes of investigation.
15. LIMITATION OF LIABILITY
15.1. To the maximum extent permitted by Applicable Law, the aggregate liability of the Company, its affiliates and their respective directors, officers and employees arising out of or in connection with these Terms, the Platform, the Platform Services or any Transaction, whether in contract, tort, negligence, statute or otherwise, shall not exceed the total Platform Fees actually paid by such User to the Company during the three (3) months immediately preceding the event giving rise to the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is lower.
15.2. To the maximum extent permitted by Applicable Law, the Company and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profits, revenue, business, opportunity, goodwill, anticipated savings, contracts or reputation, or any loss, corruption or interruption of data.
16. INDEMNITY
16.1. The User shall indemnify, defend and hold harmless the Company and its directors, officers, employees, and affiliates from and against all claims, demands, proceedings, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees and defence costs) arising out of or in connection with (a) any breach by the User of these Terms, the applicable User Terms, or Applicable Law; (b) any false, inaccurate, misleading or unauthorised information or User Content submitted by the User; (c) any infringement or violation of any intellectual property, privacy, confidentiality or other rights of a third party by the User; (d) any Transaction or dispute between the User and another User, including any matter relating to price, quality, delivery, payment, taxes, performance or non-performance; (e) any tax, duty, levy, interest, penalty or other liability arising from the User’s acts, omissions or obligations; (f) any fraud, negligence, wilful misconduct or unlawful act or omission of the User or its officers, employees, representatives, contractors or agents; or (g) any claim by a third party arising from the User’s use of the Platform or Platform Services.
16.2. The Company shall notify the User of any claim for which indemnification is sought and may, at its option, require the User to assume the defence at its cost or defend the claim itself and recover its reasonable defence costs from the User. The User shall not settle any such claim in a manner that imposes any liability or obligation on the Company without the Company’s prior written consent.
16.3. The obligations under this Clause shall survive termination or expiry of these Terms and closure of the User’s Account.
17. GOVERNING LAW AND DISPUTE RESOLUTION
17.1. The Terms and all matters arising out of or in connection with the Platform shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
17.2. Subject to Clause 17.3, the courts at Mumbai, Maharashtra, India shall have exclusive jurisdiction over all matters arising in connection with these Terms and the Platform. The User irrevocably submits to the jurisdiction of such courts.
17.3. Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties. Failing agreement on the appointment of the sole arbitrator within thirty (30) days of one party receiving a written request from the other to refer the dispute to arbitration, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai, Maharashtra, India, and the language of the arbitration shall be English. The arbitral award shall be final and binding on the parties. Nothing in this Clause shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction.
17.4. Notwithstanding Clause 17.3, either party may apply to a court of competent jurisdiction in Mumbai for interim, urgent, or injunctive relief in aid of arbitration, including (without limitation) for the protection of Confidential Information, intellectual property, or trade-secret rights.
18. REVIEWS AND RATINGS
18.1. The Platform may make available functionality enabling User to submit a Review in respect of each other following a Transaction or a Procurement Process. A Review may be displayed publicly on the Platform, including on the profile of the User to whom it relates, and may be aggregated into a rating, score or other profile attribute displayed to other Users.
18.2. A Review constitutes User Content for the purposes of these Terms, and Clause 4 shall apply to it. The User submitting a Review shall be solely responsible for it and for ensuring that it complies with these Terms and Applicable Law.
18.3. The User shall ensure that every Review submitted by it:
18.3.1. relates to a Requirement, Procurement Process or Transaction in which the User has actually participated through the Platform;
18.3.2. is based on the User’s genuine and first-hand experience;
18.3.3. is accurate, fair and not misleading, and distinguishes between statements of fact and expressions of opinion;
18.3.4. does not contain any defamatory, obscene, abusive, threatening or unlawful content, or any information described in Clause 4.6;
18.3.5. does not disclose the Confidential Information of another User, or the pricing or other commercially sensitive terms of any Bid or Transaction, except to the extent reasonably necessary to explain the Review and permitted under Clause 9;
18.3.6. does not disclose the identity of an anonymised User or otherwise circumvent any anonymity or identity feature of the Platform; and
18.3.7. does not contain the personal data of any individual, except to the extent necessary and permitted under Applicable Law.
18.4. The User shall not, directly or indirectly:
18.4.1. submit a Review in respect of itself, a related party or a competitor, or procure any person to do so;
18.4.2. offer, solicit, request, accept or provide any payment, discount, benefit or other inducement in exchange for the submission, modification, withholding or withdrawal of a Review;
18.4.3. submit, or procure the submission of, any false, fabricated, duplicated or non-genuine Review, or submit Reviews through multiple Accounts;
18.4.4. use a Review, or the threat of a Review, to coerce or improperly influence another User in relation to a Transaction, a price, a variation of terms, the settlement of a dispute or any other commercial matter;
18.4.5. submit a Review in retaliation for a Review received, or for the exercise by another User of any right available to it under these Terms or Applicable Law; or
18.4.6. use any automated means, bot or script to submit, manipulate, suppress or influence Reviews or any rating derived from them.
18.5. The Company does not verify, endorse, adopt or guarantee the accuracy, completeness, currentness or reliability of any Review. A Review represents the opinion of the User who submitted it and not that of the Company. Each User shall exercise its own judgment and conduct its own due diligence and shall not rely on a Review as the sole basis for any decision to publish a Requirement, submit a Bid, accept a Bid or enter into a Transaction.
18.6. The Company may, but shall not be obliged to, moderate, screen, decline to publish, restrict, remove or disable access to any Review which it reasonably considers to be in breach of these Terms, unlawful, defamatory, misleading, fraudulent, manipulated or otherwise inconsistent with the integrity of the Platform, and may withhold publication of a Review pending verification. The Company may display contextual information alongside a Review, including whether it relates to a verified Transaction.
18.7. The User shall not rely on a Review as the sole basis for any decision to engage with another User, accept/submit a Bid or enter into a Transaction, and shall conduct such independent due diligence as it considers necessary.
18.8. A User in respect of whom a Review has been published may submit a response through the facility made available on the Platform, and may report the Review to the Company in accordance with Clause 20. Where the Company removes or declines to publish a Review, it shall, where reasonably practicable, notify the User who submitted it and afford that User a reasonable opportunity to dispute the action, and the Grievance Officer shall maintain oversight of the resolution of any such dispute.
18.9. The User grants the Company a non-exclusive, worldwide, royalty-free, perpetual and irrevocable licence to host, store, reproduce, publish, display, distribute and otherwise use any Review submitted by it, and any aggregate rating derived from it, in connection with the operation, promotion and improvement of the Platform. This licence shall survive the closure of the User’s Account.
18.10. A Review, and any rating derived from it, may continue to be displayed on the Platform following the suspension, termination or closure of the Account of the User who submitted it or of the User to whom it relates, subject to the Privacy Policy and Applicable Law. The Company may anonymise, restrict or remove a Review where required under Applicable Law or where it considers such action reasonably necessary.
18.11. A breach of this Clause may result in the removal of the relevant Review, an adjustment to or suspension of the User’s rating or profile score, restriction of Platform functionality, or the suspension or termination of the User’s Account in accordance with Clause 14, without prejudice to any other right or remedy available to the Company under these Terms or Applicable Law.
19. GENERAL PROVISIONS
19.1. Relationship. Nothing in the Terms creates a partnership, joint venture, agency, employment, franchise, or fiduciary relationship between the Company and any User. No User has any authority to act for, bind, or represent the Company in any manner, and the Company has no such authority in respect of any User.

19.10. Language. These Terms, the applicable User Terms and the Privacy Policy are published in the English language and, to the extent required under Applicable Law, shall be made available in such language specified in the Eighth Schedule to the Constitution of India as the Company may notify on the Platform from time to time.
